Tokenized Securities

Tokenized Securities: structure, research approach, and risk considerations

PRODUCT OVERVIEW

Product Overview

Tokenized securities represent legally defined security interests through digital records. The structure determines ownership, distributions, voting, and redemption rights; tokenization does not create a new underlying asset class

01 / PRODUCT GUIDE

Investment Approach

Review the underlying investment together with the issuer, recognized ownership register, custody structure, and transfer permissions. Compare the token with conventional exposure to the same asset to identify duplicate holdings and additional costs

02 / PRODUCT GUIDE

Key Risk Considerations

Underlying market risk remains, with added issuer, custodian, settlement, and technology dependencies. Transfer restrictions and limited liquidity can prevent an exit. Trading hours and enforceable rights must be verified for each instrument

03 / PRODUCT GUIDE

What a tokenized security actually represents

A tokenized security is a security whose ownership or contractual interests are represented using a digital token. The underlying exposure can be a company share, a bond, a fund interest or another legally defined instrument. Tokenization changes the record and transfer architecture; it does not automatically change the economics of the underlying investment

Compare three structures: an issuer-native security recorded on a digital register; a token representing an interest in assets held by a custodian or vehicle; and a contract that merely tracks a reference price. These structures can have different voting rights, dividend entitlements, insolvency treatment and redemption rights. A familiar ticker or price is not sufficient evidence that a token is the actual underlying share

04 / PRODUCT GUIDE

Ownership, issuer and supporting documents

Start with the issuing entity, instrument identifier, governing documents and the legally recognized ownership register. Determine who owes the investor each obligation and who controls any underlying assets. For an intermediated structure, examine the custody or vehicle arrangements and what happens if that intermediary fails

Read the terms for distributions, voting, corporate actions, transfer restrictions and termination. A token balance can show a digital record while leaving unresolved whether its holder has enforceable rights against an issuer, a vehicle or a service provider. Keep the token contract and legal documents connected in the review

An end-to-end transaction

A typical permitted transaction begins with account approval and eligibility checks, followed by funding in an accepted settlement asset. The investor selects the precise instrument, checks the executable quote and order conditions, and confirms the wallet or account entitled to receive it. Order execution, asset delivery and settlement confirmation are separate checkpoints

After completion, reconcile the quantity with the recognized register and retain the contract note. Selling or redeeming may require an approved counterparty, a supported venue or an issuer-controlled process. Moving the token to another wallet is not necessarily equivalent to selling it or withdrawing cash

24/7 trading, liquidity and settlement

Around-the-clock design is a key digital-market possibility, but four schedules must be distinguished: blockchain operation, venue trading, payment availability and issuer redemption. Any one can have maintenance windows, restrictions or holidays. Nexora has not supplied confirmed venue schedules for these instruments

When the underlying market is closed, fewer reference prices or market participants may be available. Spreads can widen and quoted prices can diverge from the next underlying-market opening. A continuously visible quote does not guarantee that a large order can trade at that price or that proceeds can immediately reach a bank account

Pricing and the costs of the structure

Compare the token price with the underlying reference value, adjusting for the conversion ratio, currency, accrued distributions and fees. A premium or discount can reflect limited liquidity, transfer restrictions, custody concerns or the difficulty of creating and redeeming tokens

Review trading commission, spread, custody charges, network costs, conversion charges and redemption fees. If a payment token is used, its price and redemption conditions create additional exposure. A low advertised trading fee can coexist with a wide spread or expensive withdrawal process

Worked ownership and return example

Suppose the terms state that one token represents 0.1 of a share. Buying 20 tokens gives economic exposure to two shares under that structure. At $12 per token the purchase value is $240. Selling at $13 produces $260, so the gross price gain is $20. If combined entry and exit costs are $4, the simplified gain is $16 before tax or distributions

If the token falls to $10, the same quantity is worth $200, giving a $40 gross price loss. A dividend on the underlying share reaches the token holder only if the legal structure passes it through; the token ratio alone does not establish that entitlement. The example assumes the issuer honors the stated conversion ratio

Custody, permissions and corporate actions

Determine whether holdings use self-controlled keys or an intermediary account. Permissioned tokens may require approved addresses, and an administrator may be able to freeze or reissue tokens under defined conditions. These controls can support compliance while affecting transfer autonomy

Splits, mergers, tender offers and dividend payments must be processed through the token structure. Check who updates quantities and records, how holders receive notices and how errors are corrected. Network upgrades or unsupported wallets can create operational problems even when the underlying business performs normally

Applications and comparison with other products

Tokenized securities can be studied for fractional exposure and digitally integrated transfer processes. Whether either benefit is available depends on the instrument design and supporting infrastructure. Compare a direct brokerage-held share with the proposed token on legal rights, execution quality, costs and recovery arrangements

A tokenized stock remains equity exposure; a tokenized bond remains credit and interest-rate exposure. Holding both the conventional instrument and its tokenized representation may duplicate the same economic risk. Crypto assets without security-holder rights belong in the separate Crypto guide

011 / PRODUCT GUIDE

Risk review and exit planning

Evaluate underlying investment risk alongside issuer, custodian, settlement-asset and smart-contract dependencies. Transfer restrictions, paused contracts or unavailable redemption can prevent an exit. Public blockchain visibility does not guarantee adequate backing, legal recovery or a functioning secondary market

Before committing funds, document the sale or redemption route, minimum amounts, settlement times and the circumstances in which each can be suspended. Maintain records identifying the entity responsible for disputes and recovery. Treat unresolved rights and exit conditions as substantive product information, not a technical footnote

Frequently asked questions

Does tokenization guarantee actual share ownership?

No. Issuer-native shares, beneficial interests and price-tracking contracts differ. The legal documents and recognized register determine the holder’s rights

Can every tokenized security trade 24/7?

No. Trading, settlement, transfers and redemption each depend on instrument and venue arrangements. Underlying exchange hours can differ

Why can a token price differ from its underlying asset?

Conversion ratios, fees, restricted liquidity, redemption frictions and currency differences can create a premium or discount

Can a token always be sent to any wallet?

No. Approved addresses, supported networks and transfer permissions may be required

Are dividends and voting automatic?

No. Entitlements and their administration must be specified by the instrument structure
